12.03.2008: Anilinker Oy and Liaison Technologies, Inc. Announce Merger.
(12 March 2008, Finland, USA) The Finnish company Anilinker Oy and the U.S. company Liaison Technologies Inc. have agreed the merger of the two companies. The merger will be implemented using a share swap, in which the current Anilinker Oy shareholders become shareholders in Liaison Technologies Inc. As a result of the merger, Anilinker's name will change to Liaison Technologies Oy.In the transaction Anilinker's current Finnish shareholders will be granted a stake in Liaison Technologies, Inc. The board of directors for the new company will include representatives of both Liaison and Anilinker shareholders.
After the completion of the merger, Anilinker Oy's current integration and operator business will continue as before. The merger will cause no changes in customer contracts.
Liaison's service concept is composed of outsourcing services, message delivery services, and consulting services The company has a broad customer base that spans many different industries including manufacturing, pharmaceutical, information technology, banking and distribution. Liaison serves more than 130 customers worldwide. The company maintains its corporate headquarters in Atlanta with a regional European sales office in Amsterdam. Sample of Liason's customers include International Paper, Colgate-Palmolive, Weyerhaeuser Company, Merck & Co., Stora Enso, and Unisource.
Integration is a fast growing area of business, and the rapid expansion of services through global company networks increases growth in this field. The current offerings of both companies' complement each other very well. Liaison has a strong foothold in North America and has developed a growing business in Europe. Anilinker's services are being leveraged in 28 counties and in over 300 companies, and the Anilinker network already links more than 2,000 companies. Liaison's customers are among the Global-1000, while Anilinker serves a broader spectrum of companies ranging from small to large.
The newly merged company will employ 115 employees worldwide, with operations in Finland, the United States and the Netherlands. The current Liaison CEO and Chairman, Bob Renner, will continue as the CEO of the new company, Liaison Technologies, Inc. Anilinker Oy's CEO, Juhani Sormanen, has been named the Managing Director of Liaison Technologies Oy and will have responsibility for the European business as well as for the expansion of the operations elsewhere in Europe.
Anilinker Oy's visual appearance will be gradually brought in line with Liaison Technologies, Inc's during 2008.
Anilinker will issue a press release on 13 March 2008, at which point it will also be available on our website http://www.anilinker.com/. Liaison Technologies Inc. will make an announcement on 13 March 2008 a.m. local time.
